Terms of service

The terms that govern use of the Noima platform, workspaces, AI agents and integrations.

1. Agreement

Noima is operated by STARCLUSTER IT & C SRL, a company registered in Romania (CUI 42222878, Trade Register no. J2020000060116, EUID ROONRC.J2020000060116), referred to here as “Noima”, “we” or “us”.

These terms form an agreement between Noima and the organisation that creates or uses a workspace (the “customer”). By creating a workspace, accepting an invitation or using the service, you agree to them on behalf of that organisation and confirm you are authorised to do so. Noima is intended for business use; it is not offered to consumers.

2. Accounts and workspaces

  • Keep sign-in details secure and enable multi-factor authentication where available. You are responsible for activity under your account.
  • Workspace owners and administrators decide who has access, which roles people hold, which systems are connected and what AI agents may do.
  • Tell us promptly at privacy@noima.dev if you suspect unauthorised access.

3. Plans, fees and payment

  • The Sandbox plan is free and has limits. Paid plans are described on the Pricing page or in an order agreed with us.
  • Paid plans are billed in advance each month through our payment processor. AI usage beyond the units included in a plan is billed at the end of the billing period at the published rate.
  • Prices exclude taxes, which are added where applicable. Fees already paid are not refundable except where the law requires or these terms say otherwise.
  • If payment fails we keep the plan for a grace period; if it is not resolved the workspace moves to the Sandbox plan.
  • We may change prices with at least 30 days' notice, taking effect at the next billing period.

4. Your data

The customer owns its workspace content and the data it syncs from connected systems. The customer grants Noima the rights needed to host, process and display that data solely to provide, secure and support the service. We process personal data in workspace content as a processor on the customer's instructions, as described in our Privacy policy, which forms part of these terms and serves as our data processing terms.

The customer is responsible for having the right to put data into Noima and to connect third-party systems, and for the lawfulness of the data it provides.

Owners can export a workspace and delete it at any time from its settings.

5. AI agents and outputs

  • AI-generated content, recommendations and reports can be wrong or incomplete. Review them before relying on them.
  • The customer decides what agents may do on their own and what needs a person's approval. Actions an agent takes within the permissions and autonomy the customer granted, or that a person approved, are the customer's actions.
  • We do not use workspace content to train AI models.

6. Connected systems

Integrations connect to services run by other companies (such as HubSpot, Google or Slack) under your own agreements with them. We are not responsible for those services, their availability or changes they make to their access. The customer can disconnect an integration at any time.

7. Acceptable use

You must not:

  • break the law, infringe others' rights, or put in data you have no right to use;
  • attempt to access another customer's data, probe or bypass security, isolation or rate limits, or disrupt the service;
  • use the service or its APIs to build a competing product by copying it, or resell it without our written agreement;
  • use AI agents to send spam, deceive people, or make decisions with legal or similarly significant effects on individuals without meaningful human review;
  • upload malware or content that is unlawful, harassing or abusive.

8. APIs and developer access

Where a plan includes API or MCP access, apps act only with the permissions a person consents to and the rate limits we set. You are responsible for apps you build or connect and for keeping credentials secret.

9. Availability and changes

We work to keep Noima available and secure, but we do not guarantee uninterrupted service unless a separate agreement includes a service level. We may improve or change features; we will give reasonable notice before removing a feature a paid customer relies on.

10. Confidentiality and security

Each party keeps the other's non-public information confidential and uses it only for this agreement. We protect customer data with the technical and organisational measures described on our Security page and in our Privacy policy.

11. Intellectual property

Noima and its software, design and documentation belong to us and our licensors. We grant the customer a non-exclusive, non-transferable right to use the service during its subscription. If you send us feedback, we may use it without obligation.

12. Suspension and termination

The customer can stop using Noima and delete its workspace at any time. We may suspend access to protect the service or other customers, for serious or repeated breach of these terms, or for unpaid fees, and will give notice when we reasonably can. After termination the customer can export its workspace until deletion as described in the Privacy policy.

13. Disclaimer

Except as expressly stated in these terms, the service is provided “as is”, and we disclaim implied warranties such as fitness for a particular purpose, to the extent the law allows.

14. Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential loss, lost profits, revenue or data, and each party's total liability under these terms is limited to the fees the customer paid for the service in the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law, including for intent or gross negligence, or to the customer's payment obligations.

15. Indemnity

The customer will defend and compensate Noima against third-party claims arising from data the customer put into the service without the right to do so, or from use of the service in breach of section 7.

16. Changes to these terms

We may update these terms. We will post the new version here and, for material changes, notify workspace owners at least 30 days before they take effect. Continuing to use the service after that means accepting the new terms.

17. Governing law

These terms are governed by the laws of Romania. Disputes will be settled by the competent courts of Romania, unless mandatory law provides otherwise.
